Trankets Ambassador Agreement

1. This Agreement

This Ambassador Agreement (this “Agreement”) is a legally binding contract between you (“you,” the “Ambassador”) and Yconsoft Technologies (“Trankets,” “we,” “us,” or “our”), and governs your participation in the Trankets Ambassador Program (the “Program”). It applies in addition to, and forms part of, our Terms of Service and Privacy Policy, which are incorporated by reference. If there is any conflict between this Agreement and the Terms of Service on a matter specific to the Program, this Agreement controls for that matter.

By clicking “I Agree” (or a similar control), you accept this Agreement and enter into it electronically. That action is a binding electronic signature, and we record the version you accepted, the date and time, and technical information such as your IP address as evidence of your acceptance.

2. Definitions

• Referral - a new user, creator, or affiliate who joins Trankets through your referral link or code, or an activity we attribute to you through our tracking.
• Platform Fee - the fee Trankets earns on a qualifying transaction, which is the basis on which commission is calculated.
• Earning Model - the reward structure you select on enrolment (for example, commission or fixed-monthly), as described in the Program guidelines.
• Program Guidelines - the rates, tiers, thresholds, criteria, and rules we provide to you in your dashboard or onboarding materials, as updated from time to time.

3. Eligibility and Enrolment

The Program is curated and application- or invitation-based. Submitting an application does not guarantee acceptance. We may accept, decline, suspend, or revoke your participation at our sole discretion, and may require identity, bank, tax, or other verification. You must be at least 18 years old (or the age of majority where you live), hold a valid Trankets account, and provide accurate and complete information. You may not participate on behalf of another person, or create multiple, duplicate, or fraudulent accounts.

4. Independent Relationship; No Employment

You participate as an independent participant, not as an employee, agent, partner, or joint venturer of Trankets. Nothing in this Agreement creates an employment or agency relationship. You have no authority to bind us, make representations or promises for us, or incur obligations on our behalf. You are solely responsible for your own conduct, taxes, and expenses.

5. How You Earn; No Guarantee of Income

Depending on your Earning Model and tier, rewards may include: commission calculated as a percentage of the Platform Fee on qualifying transactions you drive; fixed monthly payments conditional on meeting stated performance criteria; flat fees for verified activities such as qualifying free events or free products; and referral or signup bonuses. The specific rates, tiers, thresholds, and criteria are set out in the Program Guidelines.

All rates, tiers, thresholds, criteria, and reward structures are set by us and may be changed, reduced, suspended, or discontinued at any time, including for existing ambassadors, with prospective effect. Any earnings figures we publish, including any “up to” amounts, are illustrative of potential only and are not a promise, projection, or guarantee of income. Your actual earnings depend on your activity and verified results, and may be zero.

Your earnings from the creators you refer continue only while you remain an active ambassador. If your account becomes inactive, those earnings stop from that point, and no further rewards accrue to you until your account is reactivated.

6. Attribution and Tracking

Referrals and qualifying activity are attributed using our own tracking - including referral links, codes, and platform records - which is the sole and authoritative basis for determining rewards. We generally use a single-touch, first-attribution model unless stated otherwise. You may not manipulate, spoof, or artificially inflate referrals, signups, attendance, downloads, or any other metric. Self-referrals and referrals you did not genuinely originate do not qualify.

7. Verification, Withholding, and Clawback

All rewards are subject to verification and are payable only after the underlying transactions or activities are confirmed. We may withhold, reduce, reverse, delay, or claw back any reward - including by debiting your Trankets wallet - where we reasonably determine that it arose from a refunded, charged-back, cancelled, fraudulent, inauthentic, duplicated, or non-compliant transaction or activity, or where required by law. Figures you self-report without supporting evidence will not be accepted.

8. Payments and Taxes

Confirmed rewards are credited to your Trankets wallet and are subject to any minimum payout threshold and payment schedule stated in the Program Guidelines. Payouts are made to the verified bank account linked to your wallet. You are solely responsible for all taxes, levies, and reporting obligations arising from your rewards, and we may deduct or withhold amounts where required by law.

9. Conduct and Disclosure

When promoting Trankets you must:

• clearly and conspicuously disclose your relationship with us as required by applicable law - for example, “Trankets Ambassador” or “#TranketsAmbassador”;
• not send spam or unsolicited messages, or breach the rules of any third-party platform;
• not make false, misleading, exaggerated, or unauthorised statements about us, the Program, potential earnings, or any product;
• not use our name, logo, or brand except as we expressly permit; and
• comply with all applicable laws, our Terms of Service, and the Program Guidelines.

You are responsible for the content you post and for any communities you operate.

10. Confidentiality

Non-public Program details, rates, criteria, and materials we share with you are confidential. You may not disclose them to any third party or use them for any purpose other than your participation in the Program, except where required by law.

11. Commitment, Changes, and Termination

Certain Earning Models may require a minimum participation period and advance notice to change, as stated in the Program Guidelines. We may modify or discontinue the Program, change its rules, or suspend or remove you at any time, with or without cause - including for breach, fraud, inactivity, or conduct that harms us or our users. On termination, rewards properly earned and verified up to the termination date will be paid subject to this Agreement; rewards associated with fraud or breach may be forfeited. Sections that by their nature should survive termination (including verification, clawback, confidentiality, taxes, and the disclaimers and limitations in our Terms of Service) survive.

Inactivity deactivation. To keep the Program fair and active, we may automatically deactivate an ambassador who shows no qualifying activity (for example, logging in, referring a new creator, or having a referral network that is still generating sales) for at least three (3) months. Before deactivating, we give you a grace period of about one (1) week and email you to encourage you to get active or to reach our community for support. If you do not become active during that grace period, your account is set to inactive and you stop earning from your network until your account is reactivated.

12. Relationship to Our Terms and Privacy Policy

This Agreement is in addition to, and does not override, the remainder of our Terms of Service - including the sections on Acceptable Use, Disclaimers, Limitation of Liability, and Indemnification - which apply in full to your Program activity. We process your information as described in our Privacy Policy.

13. Updates to This Agreement

We may update this Agreement from time to time. When we make material changes, we will publish a new version and require you to accept it before you continue to use ambassador features. The version and effective date shown at the top of this page identify the current Agreement.

14. Acceptance

By accepting this Agreement, you confirm that you have read and understood it, that you meet the eligibility requirements, and that you agree to be bound by it, our Terms of Service, and our Privacy Policy. If you do not agree, do not accept this Agreement and do not use ambassador features.
